1. Nature of Service; No Investment Advice
RC Quantum LLC (“RCQ”) provides research, software signals, and automation tooling (the “Services”). We do not provide investment, tax, accounting, or legal advice, and we do not execute trades or custody funds. You remain the decision‑maker.
2. Eligibility & Accounts
You represent that you have the authority to use the Services and to bind the organization you represent. You must comply with applicable laws and product eligibility rules (e.g., ETFs, derivatives).
3. Subscriptions, Billing & Cancellations
Subscriptions are billed via Stripe and renew automatically until cancelled. You may cancel at any time effective at the end of the current term. Fees are non‑refundable except where required by law or expressly stated in an order form.
4. Acceptable Use
- No resale, redistribution, or public dissemination of signals or feeds.
- No scraping, reverse engineering, or circumvention of technical controls.
- No unlawful use, sanctions violations, or abuse of rate limits.
5. Intellectual Property
All models, features, software, documentation, signals, and trademarks are the exclusive IP of RCQ. No rights or licenses are granted except as expressly stated.
6. Risks & Performance
Performance figures are period‑ and configuration‑specific and are presented for illustration. Live outcomes vary with fees, latency, slippage, risk limits, and market conditions. Past performance is not indicative of future results.
7. Confidentiality
Where we exchange non‑public information, the RCQ Mutual NDA (or your executed NDA) applies.
8. Warranties & Disclaimers
The Services are provided “as is” and “as available.” RCQ disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, RCQ’s aggregate liability arising out of or related to the Services is limited to the fees you paid in the six (6) months prior to the event giving rise to the claim. RCQ is not liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnity
You agree to indemnify and hold RCQ harmless from claims arising from your use of the Services or breach of these Terms.
11. Suspension & Termination
We may suspend or terminate access for violations of these Terms or to protect the security and integrity of the Services. You may terminate by cancelling your subscription.
12. Governing Law & Venue
Delaware law governs. Venue is New York, New York.
13. Changes
We may update these Terms. Material changes will be posted here with a new “Last updated” date.
